To comprehend why, you can read the artbook, which contains MANY informations about the making of the film.
Of course you have to read between the lines but basically, it was a cashgrab that stayed in production hell for a while, the plot (which was based on the early 2000s action shlock template) was rewritten by completely different people several times, the actors were picked for pretty fucking irrelevant reasons and didn't all have the same idea of how to interpret the source material or what to focus on, the art direction was extremely inconsistent with at least five incompatible visions of what the film should look like (on top of drawing inspiration from a franchise that's already very inconsistent) and then the post-production guys apparently weren't in touch with the production, which made them further fuck up everything.

Oh and the director is a pretentious idiot who was hired through nepotism, and he can't draw for shit but tries to micromanage everything to make it fit his shit taste.

Because 21st century science-fiction is fucking absurdly lazy.

It was a completely different story with completely different characters that copied shots and entire sequences from Ghost in the Shell.
As this narrative was much less complex and interesting, each shot you're meant to recognise just invites you to compare it with the vastly superior film you remember it from. This makes everything seem shit by comparison.
Change the name of the film and the characters, and stop directly copying visuals form the anime and you'd have a passable sci-fi blockbuster.

The original film was about a rogue AI causing havoc that they couldn't capture because they thought it was a human. SAC had a story about an ex soldier seeking to free the refugees by abandoning their bodies to live on the net.

Flab in the Shell is about a rogue refugee causing havoc because he misses his girlfriend who is also a refugee but has amnesia. Just what the fuck.

Those scenes are usually slapstick jokes, and since the anime adaptations have a lot less humor, that aspect of his character doesn't really come through, so you don't quite get why he doesn't score with her.

Every shot in the anime is from a position a person could stand, be it the ground or an apartment window. Also the relatively quiet sound design and long scenes of dialogue make it seem like quite a grounded, lived-in cyberpunk future. Also everything is dirty and a bit drab.
The Scarjo remake goes full chrome and neon and is full of "cool" sweeping CGI shots, completely taking away the weight and tactility of the world and making it generic hollywood future #7623562

on the one hand the set designer wanted things to look busy and modern to make it fun to look at for modern audiences

on the other hand the director of photography wanted things to look very close in tone to the animated movie so he tried to replicate the same lighting with the window. Only now there's a giant secondary light source that fucks it up

and on the other other hand the director wanted there to be shots that copy the animated film, but draws bad so he couldn't convey basic things like color blocking in his scribbly storyboard.

There's a pretty good articke about how the director of this film cheated on his wife, he was basically stuck directing commercials and when he gets a tiny bit of success he steps out. Wife was gorgeous too. He cheated with Kristen Stewart and his wife played her mother in the film he directed.
